SOFTWARE LICENSE AGREEMENT
FOR ACADEMIC/GOVERNMENTAL END USERS
This document establishes a legal agreement between the institution/company defined above ("LICENSEE") and the Shanghai Institute of Organic Chemistry ("SIOC"). SIOC has developed a knowledge-guided strategy for improving the accuracy of scoring functions in binding affinity prediction, which is referred to as “KGS2” herein, for use by trained individuals in applicable research fields. 

This agreement grants to LICENSEE a non-exclusive, non-transferable, perpetual right to use KGS2 to conduct research in LICENSEE’s interests. LICENSEE agrees to be bound by the following terms:

1.	SIOC has the full copyright of KGS2. No ownership rights of SIOC on KGS2 are conferred upon LICENSEE by this agreement.
2.	KGS2 is provided "AS IS" without warranty of any kind. SIOC does not warrant that the data produced by KGS2 are complete, accurate or error-free. SIOC does not warrant maintenance or support to KGS2 which will meet LICENSEE's requirements precisely. 
3.	LICENSEE warrants that KGS2 is for LICENSEE’s internal use. Except as expressly permitted by this agreement, no other use of KGS2 is permitted, including, but not limited to: (i) use for the benefit of, on behalf of, or upon the request of any other party; (ii) reproduction, adaptations, or preparation of derivative works of KGS2; (iii) reverse engineering, decompiling, disassembling, or attempting to otherwise access any source codes of KGS2.
4.	Notwithstanding the above limitations on the license, LICENSEE may publish and otherwise publicly disclose the research that LICENSEE conducts with the use of KGS2. LICENSEE shall cite the usage of KGS2 in any resulting publication by taking appropriate references to KGS2.
5.	Should SIOC provide any minor updates of KGS2 (i.e. KGS v2.x) at no additional cost, LICENSEE agrees that this agreement shall apply to such updated versions.
6.	If LICENSEE at any time fails to abide by the terms of this agreement, SIOC shall have the right to immediately terminate the license granted herein, and pursue any other legal or equitable remedies available. 

This agreement represents the complete and exclusive statement of the agreement between SIOC and LICENSEE, and supersedes all prior agreements, proposals, representations and other communications, verbal or written, between them with respect to the access and use of KGS2.  This agreement may be modified only with a mutual written approval of authorized representatives of both parties.

FOR COMMERCIAL USERS
This document establishes a legal agreement between the institution/company defined above ("LICENSEE") and the Shanghai Institute of Organic Chemistry ("SIOC"). SIOC has developed a knowledge-guided strategy for improving the accuracy of scoring functions in binding affinity prediction, which is referred to as “KGS2” herein, for use by trained individuals in applicable research fields. 

This agreement grants to LICENSEE a non-exclusive, non-transferable, perpetual right to use KGS2 at a certain amount of charge. Upon this license agreement, an unlimited number of end-users at the same site as the LICENSEE are permitted to use KGS2 to conduct research in their interests. Minor updates to KGS2 (i.e. KGS v2.x), when available, will be provided to the LICENSEE at no additional charge.

LICENSEE agrees to be bound by the following terms:

Special Note:

Upon registration, an end-user license agreement must be signed and sent to Prof. Renxiao Wang (wangrx@mail.sioc.ac.cn) for copyright protection. Then, we will provide you a formal invoice with payment information. Once we receive the payment, we will send you through e-mail further instruction on downloading the KGS2 software suite.
